1. Purpose and scope
These Purchase and Contracting Conditions (the "Conditions") govern the acquisition, by the user, of additional encrypted storage capacity on the ULOX service through the contracting of one or more LoxPods, as well as any other paid product or service that EUROPEAN DIGITAL STORES, S.L. offers through the web version of ULOX.
These Conditions have the nature of general contracting conditions and complement, without replacing, the Terms and Conditions of Use, the Privacy Policy and the Community Rules of ULOX. In the event of a contradiction regarding the purchase of paid products, these Conditions shall prevail. For matters not foreseen here, the remaining legal documents of the Legal Center shall apply.
Contracting LoxPods is voluntary: ULOX offers a free storage quota and the user only contracts additional capacity if they so wish.
2. Identification of the provider
In compliance with Article 10 of Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce (LSSI-CE), and with consumer and user protection regulations, it is hereby disclosed that the ULOX service is operated by:

3. Definitions
| ULOX | Encrypted private communication and storage service operated by EDS. |

| User | Natural person holding an account (ULOX ID) who contracts or uses ULOX products. When contracting takes place outside a business or professional activity, the user also has the status of consumer. |
| LOX / Coordinates | Secret string entered by the user that acts as coordinates to access an encrypted space. The effective cryptographic key is derived on the user's device from the LOX; EDS does not store it in plaintext nor know it. |

4. Capacity to contract
To contract a LoxPod the user declares that they are of legal age (or that they have reached the minimum age legally required in their jurisdiction to contract digital services) and that they have the necessary legal capacity to be bound under these Conditions. The user also declares that the means of payment they use belong to them or that they are authorised to use them.
5. Acceptance and formation of the contract
Contracting a LoxPod requires the express and prior acceptance of these Conditions by ticking the box provided for that purpose in the purchase summary. Without such express acceptance it is not possible to complete the purchase.
The contract is formed at the moment when the user, after reviewing the summary (product, capacity, price and applicable taxes), confirms the purchase and the payment is authorised by the gateway. EDS will send or make available to the user the proof of contracting. The user acknowledges that ticking the box and confirming the payment have full value of signature and contractual consent.
6. Products, capacities and prices
ULOX offers a free storage quota and, optionally, paid LoxPods with different capacities and periods, marketed as a renewable annual subscription.
The prices, capacities, periods and applicable taxes in force are, at all times, those shown to the user in the web version of ULOX before confirming the purchase. Such prices are expressed in euros and incorporate or itemise the applicable indirect taxes (for example, VAT) according to the legislation and place of residence of the user. EDS may modify the catalogue, capacities and prices in accordance with section 18, without this affecting contracts already formed.
In the event of a manifest and evident typographical error in a price, obvious to any person of average diligence, EDS shall not be obliged to maintain such erroneous price, informing the user and allowing them to withdraw from the affected purchase at no cost.
7. Contracting channel and purchase process
The purchase and payment of LoxPods are carried out exclusively from the web version of ULOX. The mobile (iOS and Android) and desktop applications allow storage to be managed and used, as well as the free quota to be assigned, but make no charge within the application.
The purchase process generally consists of the following steps: (i) selection of the product and capacity; (ii) display of the summary with the price, taxes and, where applicable, the proration; (iii) express acceptance of these Conditions by ticking the corresponding box; (iv) payment through the gateway; and (v) activation of the contracted capacity on the user's account.
8. Method of payment, taxes and invoice
The charge is processed through the payment gateway Stripe, by card or other means made available. EDS does not store the user's full card data; their processing corresponds to the gateway in accordance with its own conditions and security standards (PCI-DSS).
Amounts are charged in advance. Applicable taxes are calculated and displayed according to the regulations in force and the user's place of residence or establishment. The user may request the corresponding invoice by writing to support@ulox.org. The user is responsible for providing truthful billing data and for fulfilling their own tax obligations.
9. Nature of the space and zero-knowledge encryption
What the user contracts is encrypted storage capacity. The specific use the user makes of that capacity —creating one or more LoxPods under the coordinates they choose and storing their information in them— takes place entirely under the cryptographic control of the user and is invisible to EDS.
As a direct consequence of the zero-knowledge model, the user expressly acknowledges and accepts that:
- EDS does not know and cannot come to know which LoxPods the user has created, with which coordinates, under which name, or what information they contain. The server only holds opaque encrypted data that it cannot interpret or enumerate as the user's spaces.
- EDS does not possess, does not store in plaintext and has no access to the coordinates (LOX), the encryption keys or the content of the LoxPods.
- This impossibility of access is a structural and deliberate feature of the service —an essential part of its value proposition— and not a defect or a breach.
10. Sole responsibility over the coordinates (LOX)
The user expressly acknowledges, accepts and assumes that:
- Safeguarding the coordinates is the user's sole responsibility. EDS does not know them, does not store them in plaintext, holds no copy whatsoever and cannot recover, reset or deduce them by any means.
- EDS cannot help recover access. Since EDS does not even know which LoxPods the user has created, it cannot identify, locate, unlock them or recover their content, nor provide technical assistance that would allow the absence of the coordinates to be circumvented.
- The loss or forgetting of the coordinates entails the permanent and irreversible loss of access to the corresponding LoxPod, to the contracted space included in it and to all the information it contains. This loss is definitive and has no possible technical solution.
- Such loss gives no right to any refund, return, indemnity, credit, compensation or extension of any kind, as it is a consequence inherent to the security model freely accepted by the user and in no way attributable to EDS.
- EDS shall not be liable, to the maximum extent permitted by law, for any damage, loss of data, loss of information, loss of profit or harm arising from the loss, forgetting, disclosure or misuse of the coordinates by the user or by third parties to whom the user has communicated them.
- The user is strongly recommended to keep their coordinates by secure means and under their control (for example, a password manager or a safely stored physical copy), and not to share them with anyone who should not access the space.
This clause is a determining cause of EDS's consent to provide the service under a zero-knowledge regime and to set its price; the user declares that they fully understand it and expressly accept it upon confirming the purchase.
11. Term, renewal and extension
LoxPods are contracted for an annual period. The contracted capacity remains available until its expiry date. Capacity expansions made during a current period are prorated by days until the current expiry.
Unless otherwise indicated on the website at the time of purchase, the subscription renews for equal periods. Maintaining the expanded capacity requires renewal; if the user does not renew, upon expiry they will lose the additional capacity and the information stored above the free quota may become inaccessible or be deleted after the technical periods established by EDS. The user may manage or cancel the renewal from the website itself in advance of the expiry.
12. Withdrawal and refunds
The LoxPod is a digital content or service of immediate execution. By activating the subscription with their express consent and requesting its immediate execution, the consumer user acknowledges that, in accordance with the applicable consumer regulations (in Spain, Article 103.m of the consolidated text of the General Law for the Defence of Consumers and Users), they lose the fourteen (14) calendar-day right of withdrawal once the service has begun to be provided.
As a general rule, and without prejudice to the mandatory rights of the consumer, no refund shall be granted of the amounts paid. In particular, and by way of example, the following shall not give rise to a refund: (i) the loss, forgetting or disclosure of the coordinates (LOX); (ii) the loss of information attributable to the user; (iii) the non-renewal of the subscription; (iv) the suspension or termination for breach by the user pursuant to section 15; nor (v) the partial use or non-use of the contracted capacity.
EDS will indeed process refund requests in specified and evidenced cases of: (a) double charging or charging for an amount higher than confirmed; (b) technical error attributable to EDS that has entirely prevented the activation of the contracted capacity; or (c) any other case in which mandatory consumer law so requires. Requests shall be addressed to support@ulox.org with proof of the transaction, and shall be resolved within a reasonable time.
13. Backups and loss of information
The service is provided under a zero-knowledge regime; consequently, EDS cannot make backups of the user's plaintext content, nor restore it, nor guarantee its recovery in the event of loss of the coordinates, user error, deletion, device failure or any other cause.
Making backups of the information the user considers valuable is the sole responsibility of the user. To the maximum extent permitted by applicable law, EDS is exonerated from all liability for the loss, alteration, unavailability or destruction of the information stored by the user, whatever its cause, without prejudice to EDS's obligation to use reasonable technical means to preserve the availability of the encrypted data it holds.
14. Permitted and prohibited use of the contracted space
The contracted space is intended exclusively for the lawful storage of information belonging to the user or over which they hold the necessary rights. Regardless of EDS's technical impossibility of examining the encrypted content, the user undertakes not to use the contracted space to store, host, transmit or distribute, among others:
- Child sexual abuse material (CSAM) in any form or representation, including artificially generated material.
- Any form of pornography or sexually explicit adult material. ULOX is not a platform oriented to sexual content and expressly prohibits it, regardless of the consent of the persons represented.
- Content that promotes terrorism, violent extremism, hatred, discrimination or violence against persons or groups.
- Illegal content, goods or services: drugs, weapons, controlled substances, material resulting from crime, stolen data or credentials, money laundering, fraud, scams, or any purpose contrary to the law.
- Malicious software (malware, ransomware, viruses) or works that infringe third-party intellectual or industrial property rights.
- Any other purpose contrary to applicable law, public order, good morals or human dignity.
The use of the contracted space is likewise subject to the Community Rules and the Terms and Conditions of Use. Civil, administrative and criminal liability over the stored information lies exclusively with the user. The technical impossibility of moderating the content a priori does not exempt the user from complying with the law nor excludes their prosecution by the competent authorities.
15. Non-payment, suspension and termination
EDS may suspend or terminate immediately the provision associated with a paid product, in whole or in part, when any of the following occur: (i) non-payment, rejection, chargeback or reversal of the charge; (ii) breach of these Conditions, of the Terms or of the Community Rules, even upon reasonable suspicion; (iii) request from a competent authority; or (iv) serious risk to the security or availability of the service or to third parties.
Termination for a cause attributable to the user shall not give rise to a refund of the amounts paid. Given the cryptographic characteristics of the service, suspension or termination may entail the irreversible loss of access to the content, without liability for EDS.
16. Service availability
EDS will use reasonable means to keep the service operational, but does not guarantee uninterrupted or absolute availability. The service may suffer scheduled interruptions (maintenance, updates) or unscheduled ones (technical failures, attacks, force majeure, provider unavailability). Unless service levels (SLA) are expressly agreed in specific enterprise conditions, EDS does not guarantee specific availability or response times.
17. Warranties and limitation of liability
Without prejudice to the mandatory rights that assist the consumer user, the products are provided "as is" and "as available". To the maximum extent permitted by applicable law, EDS shall not be liable for indirect, consequential, special, incidental damages or loss of profit, including, without limitation, loss of data, of information, of coordinates or of business opportunities.
EDS's aggregate and total liability towards the user for any claim arising from the contracting of a product shall be limited, to the maximum extent permitted by law, to the amount effectively paid by the user for that product in the twelve (12) months prior to the event giving rise to liability. The limitations of this section do not apply in cases where mandatory law does not allow their exclusion or limitation (wilful misconduct, gross negligence, damage to life or physical integrity, nor inalienable consumer rights).
18. Modification of prices and conditions
EDS may modify its catalogue, capacities, prices and these Conditions at any time, publishing the updated version in this same section with an indication of its date of entry into force. The modifications shall not affect contracts already formed during their current period; they shall apply to new purchases and to renewals subsequent to their entry into force. If the user does not accept the new conditions applicable to the renewal, they may choose not to renew the subscription.
19. Data protection
The processing of personal data associated with contracting (account, billing and payment data processed by the gateway) is governed by the Privacy Policy of ULOX, in accordance with Regulation (EU) 2016/679 (GDPR) and the applicable Spanish regulations. EDS has no access to the user's encrypted content.
20. Assignment, partial invalidity and integrity
The user may not assign their contractual position without the prior written consent of EDS. EDS may assign these Conditions to any entity of its group, successor or acquirer of the business, provided that this does not impair the user's rights. If any clause is declared null or unenforceable, the rest shall retain full effectiveness, and the affected clause shall be replaced by another, in accordance with law, that most closely approximates its purpose. These Conditions, together with the other legal documents, constitute the entire agreement between the parties regarding the purchase of paid products.
21. Applicable law, jurisdiction and dispute resolution
These Conditions are governed by and construed in accordance with Spanish law. For any dispute, the parties submit to the Courts and Tribunals of the city of Madrid (Spain), with waiver of any other jurisdiction. The foregoing is understood without prejudice to the mandatory rights that assist the consumer user under the consumer protection legislation of the country or region of their habitual residence, including the jurisdiction of their domicile where it is mandatorily applicable.
The consumer user resident in the European Union has at their disposal the European online dispute resolution platform (ODR Platform) at https://ec.europa.eu/consumers/odr/. As a prior measure, the user may contact EDS at legal@ulox.org to attempt an amicable resolution.
22. Language
The original version of these Conditions is drafted in Spanish, and it is the only one with binding legal value. Translations into other languages are provided for informational purposes only. In case of discrepancy between the Spanish version and any translation, the Spanish version shall prevail, unless the law applicable to the consumer user provides otherwise.
